Service Agreement
This Service Agreement ("Agreement") is entered into between Reach Out More ("Company," "we," "our," or "us") and the client ("Client," "you," or "your") for the professional services described in the approved proposal, invoice, estimate, or service package.
By purchasing or using our services, you agree to the terms outlined below.
1. Services
Reach Out More provides professional business growth solutions including, but not limited to:
- Website Design & Development
- Shopify Store Design & Development
- Local SEO
- Digital Marketing
- Google Business Profile Optimization
- Social Media Marketing
- Graphic Design
- Branding
- Business Consulting
- Website Maintenance
- Hosting Management
- Content Creation
- Marketing Campaigns
- Business Automation
- Custom Digital Solutions
Services included in your project are defined in your proposal, estimate, or invoice.
2. Project Scope
Each project is based on the agreed scope of work.
If additional features, pages, revisions, or services are requested after approval, Reach Out More may provide a revised estimate before additional work begins.
Work outside the approved scope is not included unless agreed to in writing.
3. Client Responsibilities
To ensure successful completion of your project, you agree to:
- Provide accurate business information.
- Supply logos, images, branding, and content when requested.
- Respond to questions and approval requests promptly.
- Review completed work within a reasonable time.
- Maintain ownership or licensing rights for all submitted materials.
Project timelines may be extended if required information or approvals are delayed.
4. Project Timeline
Estimated completion dates are based on timely communication and receipt of all required materials.
Delays caused by missing content, late approvals, or third-party providers may affect the completion schedule.
Project timelines are estimates and are not guaranteed.
5. Payment Terms
Payment terms will be outlined in your proposal or invoice.
Unless otherwise agreed:
- A deposit may be required before work begins.
- Remaining balances are due according to the agreed payment schedule.
- Monthly services are billed in advance.
- Invoices are due upon receipt unless otherwise specified.
Late payments may result in delayed work, suspension of services, or additional fees.
6. Revisions
Projects include reasonable revisions as outlined in your proposal.
Revisions are intended to refine approved conceptsโnot redesign completed work.
Additional revisions beyond the agreed scope may incur additional charges.
7. Website Launch
Before launch, the Client will have the opportunity to review the completed project.
Once approved:
- The website will be published.
- Final files will be delivered as applicable.
- Remaining balances become due if not already paid.
8. Ongoing Support
Unless included in a maintenance plan, project completion does not include ongoing updates, edits, troubleshooting, or technical support.
Clients may purchase maintenance or support plans separately.
9. Hosting & Domains
If Reach Out More manages hosting or domain services:
- We will assist with setup and management.
- Third-party hosting and domain fees are separate unless included in your service plan.
- Clients remain responsible for renewing domains and hosting when applicable.
10. Third-Party Services
Projects may integrate with third-party platforms including:
- Shopify
- Google
- Meta (Facebook & Instagram)
- Payment processors
- Email providers
- CRM systems
- Marketing tools
- Domain registrars
- Hosting providers
Reach Out More is not responsible for outages, pricing changes, policy changes, API limitations, or service interruptions caused by third-party providers.
11. Search Engine Optimization & Marketing
While we follow industry best practices, Reach Out More does not guarantee:
- First-page Google rankings
- Specific keyword rankings
- Sales increases
- Lead generation volumes
- Advertising performance
- Revenue growth
- Website traffic
- Social media engagement
Marketing results depend on numerous factors beyond our control, including competition, market conditions, advertising budgets, and search engine algorithm updates.
12. Ownership
Upon full payment:
The Client owns:
- Final website content
- Approved graphics created specifically for the project
- Client-provided materials
- Approved deliverables identified in the proposal
Reach Out More retains ownership of:
- Proprietary frameworks
- Custom development tools
- Theme architecture
- Internal software
- Reusable code libraries
- Business processes
- Templates
- Automation systems
Unless otherwise agreed, we may reuse non-client-specific code, techniques, and components in future projects.
13. Portfolio Rights
Unless the Client requests confidentiality in writing, Reach Out More may display completed work in its portfolio, website, social media, presentations, and marketing materials.
Confidential business information will never be disclosed without permission.
14. Cancellation
Either party may cancel a project before completion by providing written notice.
If canceled:
- The Client is responsible for payment for all work completed through the cancellation date.
- Deposits are non-refundable once work has begun.
- Any completed work delivered before cancellation remains billable.
15. Monthly Services
For recurring services such as:
- Website Maintenance
- Local SEO
- Digital Marketing
- Social Media Management
- Hosting
- Business Consulting
Either party may cancel with 30 days' written notice, unless otherwise stated in the proposal or service plan.
Fees already paid are generally non-refundable.
16. Warranty
Reach Out More warrants that services will be performed in a professional and workmanlike manner.
Because websites, search engines, advertising platforms, and software environments change over time, we cannot guarantee uninterrupted functionality indefinitely without ongoing maintenance.
17. Limitation of Liability
To the fullest extent permitted by law, Reach Out More shall not be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, business interruption, or data loss.
Our total liability shall not exceed the amount paid by the Client for the specific service giving rise to the claim.
18. Confidentiality
Both parties agree to keep confidential information private and use it only for purposes related to the project.
Confidential information includes business plans, customer information, financial information, proprietary processes, login credentials, and any non-public information shared during the project.
19. Force Majeure
Neither party shall be liable for delays or failures caused by events beyond reasonable control, including natural disasters, severe weather, internet outages, cyberattacks, labor disputes, government actions, or other unforeseen circumstances.
20. Governing Law
This Agreement shall be governed by the laws of the State of Florida, without regard to conflict of law principles.
Any legal disputes shall be resolved in the appropriate courts located in Florida.
21. Entire Agreement
This Agreement, together with any approved proposal, estimate, invoice, or written addendum, represents the complete understanding between Reach Out More and the Client.
No verbal agreements shall modify this Agreement unless confirmed in writing.
22. Acceptance
By signing a proposal, approving an estimate, making a payment, or requesting that Reach Out More begin work, the Client acknowledges that they have read, understood, and agree to this Service Agreement.
